CHIEF FINANCIAL OFFICER (CFO) July 26, 2023 CHIEF FINANCIAL OFFICER (CFO) Summary: Full-time position available for an experienced individual to serve as the Bank’s Chief Financial Officer. The CFO will plan, direct, and control the bank’s overall financial plans and policies, accounting practices, and applicable relationships within the financial community. The CFO will advise Senior Management and the Board of Directors on fiscal control, and profitability. Responsible for the fair measurement, as well as presentation of the bank’s financial results and condition. The CFO will continually optimize the Bank’s financial position, provide leadership, training, and supervision, while ensuring compliance with company policies and procedures, applicable state and federal banking regulations and tax laws. The CFO will possess a strong understanding of technology, display excellent communication/listening skills, and deploy a collaborative approach, to propel the organization into the future with continued standards of excellence and self-improvement. Essential Responsibilities: As the Bank’s most senior financial executive, the CFO is expected to exemplify the highest personal and professional standards, acting with integrity, honesty, diligence and in good faith for the best interests of the Bank, embodying the core value framework as a role model for others, while actively fostering a performance-based culture of accountability, respect, and inclusion. CFO should ensure goals are well understood, create a collaborative environment, build confidence, trust, and create cooperation among team members in achieving goals. Key responsibilities include: Oversee financial planning, budgeting, and forecasting processes, ensuring accuracy and alignment with strategic goals. Develop and implement financial strategies and policies to support the overall, and unique, business objectives. Refine profitability reporting systems to encourage loan and deposit growth consistent with the Bank’s overall profitability objectives. Provide financial analysis and recommendations to guide decision-making at the executive and board levels. Monitor financial performance, analyze variances, and identify areas of improvement or risk. Manage the Allowance for Credit Losses using CECL methodologies. Conduct financial analysis and due diligence for potential business opportunities. Evaluate the financial viability and risks associated with new projects, markets, or ventures. Provide financial insights and guidance on long-term growth strategies, capital allocation, and profitability enhancement. Identify, assess, and mitigate financial risks, including market risks, regulatory compliance, and operational risks. Implement effective internal controls and financial reporting systems to safeguard assets and ensure compliance with laws and regulations. Develop and maintain insurance policies to protect the company’s assets and manage potential liabilities. Ensure accurate and timely financial reporting in compliance with accounting standards and regulatory requirements. Prepare financial statements, reports, and analysis for internal and external stakeholders, including senior leadership, and board of directors. Coordinate external audits and manage relationships with auditors, tax advisors, and regulatory bodies. Stay abreast of accounting and tax changes, implement necessary updates, and advise on their impact on the business. Plan, develop, organize, implement, direct, and evaluate the organization’s financial, accounting, and tax strategies, functions, and performance. Monitors interest rate, credit and portfolio risk status and set limitations as required for effective Asset/Liability Management. Manage and Monitor liquidity, capital, and interest rate risk positions, identifying ways to reduce interest rate risk and sensitivity. Manage and optimize Asset and Liability Pricing strategies to ensure appropriate risk/return relationships. Manage and optimize the investment and borrowing portfolios of the bank to achieve above average earnings and safeguard the bank’s assets. Provide detailed ALCO and Investment reports to Board and Executive Management. Updates the ALM policy in accordance with governing rules and regulations. Develop reliable cash flow projections process and reporting mechanisms to meet operating needs. Develop various strategies related to stress scenarios for cash flow, asset quality, and other key areas. Oversee all required regulatory reporting to assure compliance in the most cost-effective manner and minimize legal liabilities. Oversee budget planning, preparation, and administration processes to control operating expenses and achieve the bank’s strategic objectives. Identify operational inefficiencies and create an environment of continual improvement. Work with vendors to acquire adequate and appropriate casualty and liability insurance coverage. Negotiate significant vendor contracts in a manner that protects the financial interests of the institution and provides superior value to the customer. Represents the firm on financial matters with industry, governmental, and regulatory organizations. Assist internal, external, and regulatory auditors with the collection of requested materials as assigned with their respective engagements. Lead and develop the finance and accounting teams across the organization, providing regular guidance, mentoring, and performance feedback. Oversee accounts payable and accounts receivable, and recordkeeping, investments, taxes and ensuring general ledger accounts are reconciled monthly. Serve as an effective member of the Senior Management team. Collaborate with senior executives to drive cross-functional initiatives and achieve organizational goals. Establish credibility throughout the Bank and with the Board as an effective developer of solutions to business challenges. Qualifications: Bachelor’s degree and a minimum of 10 years of related experience is required, with a history of improving financial performance in a leadership role and working directly with executive teams. Advanced degree and/or professional certification (e.g., CPA, MBA, CMA) is preferred. Previous experience working in Finance in a senior leadership capacity with a mid-size (approx. $500M assets or larger) financial institution strongly preferred. Strong executive presence and communication skills. Strong problem-solving skills, creative and resourceful, ability to find new approaches and solutions. Sound knowledge of investments and asset liability management. Experience in treasury management, including investment decisions. FTP experience is preferred. Experience with M&A involving banks is preferred. Excellence in bank management, with strong technical skills and the ability to translate data and related data trends back to business issues. Results oriented and Ability to multi-task, prioritize, organize, and meet deadlines. Analytic and decisive decision-making skills with the ability to prioritize and communicate key objectives and tactics. Strong working knowledge of the financial/Banking industry, regulatory requirements, and a diverse range of knowledge and experience leading back-office operations, information technology, business analytics, strategic planning, and project management.
